Agreement

This Developer Agreement ("Agreement") is entered into by and between Party Social, and you ("Developer").

1. DEFINITIONS

API: Means the application programming interface provided by Party Social that allows Developer to access certain functionality provided by Party Social's services.

Developer Application: Means any software application developed by Developer that interacts with the API.

Documentation: Means any guides, manuals, or other documentation provided by Party Social that describe the features and functionality of the API.

2. LICENSE

Subject to the terms and conditions of this Agreement, Party Social grants Developer a non-exclusive, non-transferable, revocable license to use the API solely for the purpose of developing, testing, and supporting Developer Applications. Developer agrees not to use the API in any manner that violates any applicable law or regulation or for any purpose not expressly permitted by this Agreement.

3. OBLIGATIONS

Developer agrees to comply with all Documentation provided by Party Social and all requirements set forth in this Agreement, and our terms of service, CoolStone Terms of Use.

Developer agrees to implement and maintain reasonable security measures to protect any API keys or other credentials provided by Party Social.

Developer is solely responsible for providing support to users of Developer Applications and shall not refer users to Party Social for support related to Developer Applications.

4. INTELLECTUAL PROPERTY

Developer acknowledges and agrees that Party Social owns all rights, title, and interest in and to the API, Documentation, and all related intellectual property rights.

Developer retains all rights, title, and interest in and to Developer Applications, except as expressly provided herein.

5. FEES

Party Social may, in its sole discretion, charge fees for access to the API. Developer agrees to pay any applicable fees as set forth by Party Social.

6. TERMINATION

We may terminate this Agreement at any time for any reason.

Developer may terminate this Agreement by discontinuing the use of the API/SDK.

7. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of California. This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral.

8. UPDATES

Developers will be notified of any changes or updates to this policy, and it is their responsibility to stay informed and comply with the latest requirements.
